1. Who we are & acceptance

These Terms of Service ("Terms") are a binding agreement between you and Fourteen21 LLC ("Fourteen21", "we", "us", or "our"), the operator of the Soapli service ("Soapli", the "Service"). By creating an account or using Soapli, you agree to these Terms. If you don't agree, please don't use the Service.

2. The Service

Soapli provides recipe calculation, inventory, batch tracking, INCI labels, and related tools for handmade bath and body makers. Calculations and outputs are guidance — you remain responsible for safety, lab testing, and regulatory compliance for any products you make or sell.

3. Accounts

You're responsible for safeguarding your credentials and for all activity under your account. You must provide accurate information and keep it up to date. Notify us immediately of any unauthorized use.

4. Payments, subscriptions & Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns, billing, taxes, and invoicing.

Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Checkout Buyer Terms and Paddle's policies, in addition to these Terms.

Paid plans renew automatically until cancelled. Upgrades take effect immediately and are prorated; downgrades take effect at the end of the current billing period. You can manage your plan from billing settings. Refunds are described in our Refund Policy.

5. Acceptable use

Don't misuse the Service: no reverse engineering, no abuse of other users, no unlawful content, no infringement of third-party rights, no attempts to disrupt or probe the platform, no scraping or automated extraction outside published interfaces.

6. Your content

You own the recipes, batches, customer records, and other data you create ("Your Content"). You grant Fourteen21 LLC a limited, non-exclusive licence to host, store, and process Your Content solely to operate the Service for you.

7. Intellectual property

The Service, including its software, design, branding, and documentation, is owned by Fourteen21 LLC and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.

8. Disclaimer

The Service is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability and fitness for a particular purpose, to the fullest extent permitted by law. Soap and skincare making involves caustic chemicals — always verify lye calculations and follow proper safety practices.

9. Limitation of liability

To the maximum extent permitted by law, Fourteen21 LLC's aggregate liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months prior to the claim. We are not liable for indirect, incidental, consequential, or special damages, including loss of profits, data, or goodwill. Nothing limits liability for fraud, death, or personal injury caused by negligence where such limitation is not permitted by law.

10. Suspension & termination

You may close your account at any time from account settings. We may suspend or terminate accounts for material breach of these Terms, non-payment, security or fraud risk, or repeated/serious policy violations.

11. Changes

We may update these Terms. Material changes will be announced by email or in-app at least 14 days before taking effect.
